Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PeerNest (“PeerNest”, “we”, “us”). By creating an account, signing in, or otherwise using the service, you agree to be bound by these Terms. If you are using PeerNest on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you personally and that organization.
1. The service
PeerNest provides scheduling, live video, whiteboarding, and related collaboration features for tutors and the students they teach. The service evolves over time; we may add, change, or remove features at our discretion.
2. Eligibility and accounts
You must be at least 13 years old to use PeerNest. Children under 13 may use PeerNest only when a parent, guardian, or authorized school has granted permission, as described in our Privacy Policy.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at ashar@peernest.ai if you suspect unauthorized use.
3. Subscriptions and billing
Some features require a paid subscription. Tutors who add seats to their workspace are billed monthly per active seat. Current pricing is shown in the Settings > Billing area of the product.
- Authorization. By starting a subscription you authorize us (through Stripe) to charge the payment method on file for recurring fees until the subscription is cancelled.
- Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Changes. Adding or removing seats during a billing period results in a prorated charge or credit on the next invoice.
- Refunds. Fees are non-refundable except where required by law. We may, at our discretion, issue a refund or credit on request.
- Taxes. Stated prices do not include taxes; you are responsible for any applicable sales, use, VAT, or similar taxes.
- Past-due accounts. If a payment fails we may suspend the affected workspace until the balance is cleared.
4. Acceptable use
You agree not to:
- Use PeerNest to harass, threaten, defame, or endanger anyone, including minors.
- Upload or share content that is illegal, infringes intellectual property, contains malware, or violates anyone’s privacy.
- Attempt to access another user’s account, workspace, session, or data without authorization.
- Probe, scan, or test the vulnerability of PeerNest’s systems, or disrupt the service for other users.
- Use automated means to scrape, mirror, or extract data from the service except as permitted by our documented API.
- Resell or sublicense access to PeerNest without our written permission.
We may suspend or terminate any account that violates this section, with or without notice depending on the severity of the violation.
5. Your content
You retain ownership of all content you upload to PeerNest (lesson materials, whiteboard work, messages, recordings). You grant PeerNest a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and reproduce that content solely as needed to operate the service for you and the people you invite.
You are responsible for ensuring you have the right to upload and share any content you place on PeerNest.
6. Tutors, students, and workspaces
A workspace owner (typically the tutor or tutoring business) controls who joins the workspace and what data is collected on its students. If you are a tutor, you are responsible for obtaining the consents required by law to invite each student to your workspace, including parental consent for any student under 13. PeerNest acts as a processor for student information on the workspace owner’s behalf; the workspace owner is the controller of that information.
7. Third-party services
PeerNest integrates with third-party services such as Google Calendar, Stripe, and WorkOS. Your use of those services is governed by the third party’s own terms and privacy policy. We are not responsible for third-party services and disclaim any liability arising from your use of them.
8. Intellectual property
PeerNest, including its software, design, logos, and other branding, is owned by PeerNest and protected by intellectual property law. Nothing in these Terms transfers ownership of any PeerNest intellectual property to you. You may not copy, modify, or create derivative works of PeerNest except as expressly permitted.
9. Termination
You may stop using PeerNest at any time. You may delete your account from Settings, or by writing to ashar@peernest.ai.
We may suspend or terminate your access to PeerNest if you materially breach these Terms, if your account is past due, if we are required to do so by law, or if continuing to provide the service to you would expose us or other users to legal or security risk.
On termination, your right to use PeerNest ends immediately. We will delete your data in accordance with the retention rules described in the Privacy Policy. Sections of these Terms that by their nature should survive termination will survive (including sections 5, 8, 10, 11, and 12).
10. Disclaimer of warranties
PeerNest is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any defect will be corrected.
11. Limitation of liability
To the maximum extent permitted by law, PeerNest will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of or related to these Terms or the service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars.
12. Indemnification
You agree to indemnify and hold harmless PeerNest from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of PeerNest, your content, or your breach of these Terms.
13. Changes to these Terms
We may update these Terms from time to time. When we make a material change we will update the “Last updated” date and, where appropriate, notify you by email or through the product. Continued use of PeerNest after the change takes effect constitutes acceptance of the updated Terms.
